These terms govern your use of services provided by KC Pulse ("we," "us," "our"), operating from Kansas City, Missouri. By using our services, you agree to these terms. If you do not agree, do not use our services.
KC Pulse sends automated SMS review requests to your customers on your behalf, acting solely as your service provider and technology platform. You are the initiator of all messages sent to your customers. We do not independently decide who receives messages or when. We do not guarantee any specific number of reviews, ratings, or search ranking outcomes. Results vary by business. Any examples, case studies, or metrics referenced on our website reflect the results of specific businesses under specific conditions and should not be interpreted as a promise of similar outcomes.
You must be at least 18 years old and authorized to act on behalf of the business you register. By using our services, you represent and warrant that this is the case. We reserve the right to request verification of your identity and your authority to act on behalf of the registered business at any time. Providing false or misleading information about your identity or business affiliation is grounds for immediate termination and may result in legal action.
You are responsible for:
KC Pulse operates as a technology platform and service provider. We send messages on your behalf, at your direction, using customer information that you provide. We do not independently verify the consent status of individual recipients. We are not the "sender" of messages for purposes of TCPA liability; you, the business, are the sender. We may, but are not obligated to, implement safeguards such as opt-out processing and do-not-contact list management.
By consenting to SMS on our contact form, you agree to receive text messages from KC Pulse regarding your account and services. Message frequency varies. Standard message and data rates may apply.
Opt-out: Reply STOP to cancel at any time. Reply HELP for support. You may also email support@kcpulse.com.
SMS consent is not required to purchase any service. Carriers are not liable for delayed or undelivered messages.
Pricing and billing frequency are communicated during setup before any charges are made. You agree to pay all fees associated with your selected plan. Services may automatically renew at the end of each billing cycle unless you cancel. We may offer a free trial at our discretion; if you do not cancel before the trial ends, standard billing begins. You may cancel at any time with no cancellation fee by contacting us via email or phone. Upon cancellation, we will stop sending messages on your behalf within 5 business days. Services remain active through the end of your current billing period. Refunds are not provided for partial billing periods.
All content, branding, and technology associated with KC Pulse are our property or used under license. You retain ownership of your business information and customer data. By using our services, you grant us a limited, revocable license to use your business name and information solely to deliver our services for the duration of our business relationship.
To the maximum extent permitted by law, KC Pulse and its owners, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of business, reputational harm, or loss of data, arising from your use of our services, regardless of whether we were advised of the possibility of such damages. Our total aggregate liability for any and all claims arising from or related to our services shall not exceed the lesser of (a) the total amount you paid us in the three months preceding the claim, or (b) $500. This limitation applies regardless of the theory of liability, including breach of contract, tort, negligence, strict liability, or any other basis.
You agree to indemnify, defend, and hold harmless KC Pulse and its owners, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney fees and court costs) arising from or related to: (a) your breach of these terms; (b) your failure to obtain proper consent from your customers for SMS communications; (c) your violation of any applicable law, regulation, or third-party rights, including but not limited to TCPA, CAN-SPAM, and state consumer protection laws; (d) any dispute between you and your customers or end users; (e) any inaccurate, misleading, or fraudulent information you provide to us; or (f) any claim by a third party that messages sent on your behalf were unauthorized, unsolicited, or otherwise unlawful. This indemnification obligation survives termination of these terms.
Our services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or secure, or that they will produce any specific results for your business. We do not warrant that any reviews generated through our services will remain published, as third-party platforms such as Google control the display and removal of user content.
Either party may terminate at any time. We reserve the right to immediately suspend or terminate your access without prior notice if we reasonably believe you are violating these terms, applicable law, or engaging in conduct that could expose KC Pulse to legal liability. Upon termination, we will cease sending messages on your behalf within 5 business days. You remain responsible for all fees incurred prior to termination. Sections on limitation of liability, indemnification, disclaimer of warranties, dispute resolution, and any accrued obligations survive termination.
These terms are governed by the laws of the State of Missouri, without regard to its conflict of law provisions. Any disputes arising from or related to these terms or our services shall be resolved exclusively in the state or federal courts located in Jackson County, Missouri. Both parties irrevocably consent to the personal jurisdiction and venue of those courts. Each party waives any objection to jurisdiction or venue in those courts, including on grounds of inconvenient forum.
If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible, and the remaining provisions will continue in full force and effect.
These terms, together with our Privacy Policy, constitute the entire agreement between you and KC Pulse regarding the use of our services. They supersede all prior agreements, representations, and understandings.
We may update these terms at any time. Changes take effect when posted. We will update the "Last updated" date above. Continued use of our services after changes constitutes acceptance. For material changes, we will make reasonable efforts to notify you via email or through our services at least 14 days before the changes take effect.
